As we have previously shared, logistical and geopolitical challenges necessitated an operational pause at the wellsite over recent months. Thankfully, we are preparing to launch our targeted re-completion work on the MJ-01 well in Q1 as expected. Our rig crew is informed and scheduled to arrive in Israel in the latter part of February to commence rig startup procedures. This includes minor repairs and maintenance, as well as drilling out the temporary plug that has been sealing MJ-01 during the pause. Once this work is complete, the team will focus on preparing both the location and the wellbore for the upcoming recompletion operation.

While our crew carries out these preparations, the necessary stimulation, well testing, and nitrogen equipment will be transported from various locations in Europe to Israel. Based on current projections, we anticipate receiving this equipment on-site in March, subject to final availability and shipping schedules.

Following equipment arrival, our plan is to proceed with rigging up, setting a bottom plug, and installing a swell plug, which is an essential step to isolate the targeted zone of interest. Once the plug has properly set, we will run in hole with the stimulation equipment, stimulate the zones, and initiate flowback operations.

Flowback duration will depend on well response; if all key components come together as expected, we anticipate completing these operations in early Q2.

While there are always variables in an operation of this nature, our team remains optimistic about the timeline and continues working diligently to achieve success.

We are grateful that our staff, rig, drill/recompletion site, and offices remain safe and unharmed despite the recent conflict in Northern Israel.

After careful engineering evaluations, we have chosen to pivot from the planned fishing operation, focusing on the larger upper zones. Technical challenges with the deep 4.5” casing section prompted us to pursue an alternative solution that prioritizes the well’s long-term potential and viability.

We will proceed with stimulation at a stable depth, focusing on the upper, larger zones. Our team is coordinating the necessary mobilization/logistics involved in importation of equipment and manpower into the north ports of Israel. Additionally, we are ensuring our team, the drilling crew’s visas, and all resources are ready for an early start in Q1 2025.

During these challenging times, we are thankful to report that our staff and rig remain safe in Israel despite the ongoing conflict. The security and well-being of our personnel are paramount to our success. We continue to work within Israeli guidelines ensuring the continued protection of our staff, crew, and well site.

While our MJ-01 re-completion project has faced a multitude of hurdles, including an active conflict, downhole issues and logistical challenges, we continue to move forward each time a safe opportunity permits continuation of operations. However, we will only move forward in coordination with Israeli authorities. We are actively monitoring the port situation to import the items needed to complete the current work program. We remain optimistic about making significant progress in the coming months.

In light of the current situation, we have decided to extend our Unit Program until December 31, 2024. We want to give you an update on the current status of our MJ-01 re-completion project. Our operations have recently faced significant delays due to an unforeseen combination of downhole challenges, logistical constraints and geopolitical factors.

Not surprisingly, after six years of inactivity in a well over three miles deep, the MJ-01 wellbore presents a challenging environment. One major delay that has arisen is our drill pipe separated and a section of it (the “fish”) dropped near the bottom of the hole. This is not an uncommon occurrence with oil and gas drilling operations, but we do need to recover the fish to resume operations. The specialized tools we need are not in Israel, but we believe we have located all of them which then will need to be shipped to Israel, clear Israeli customs and be transported to our rig site.

Another delay arose out of the logistical challenges we face. The ongoing conflict in the region has impacted shipping routes, the timely arrival of necessary equipment and created travel difficulties for our rig crews. Our operations require specialized rig crews who are not available in Israel.

Our rig crews, largely from Hungary and Romania, have worked on our I-35 rig since its manufacture and are very knowledgeable and efficient with its operation. Nevertheless, it is physically demanding and dangerous work which normally requires shifts of crews alternating from the rig site to home and back to avoid physical and mental fatigue which can lead to accidents and injuries. Due to our logistical issues, some of our crew members have already been on-site for 80 consecutive days which poses a heightened safety risk. We, however, have been blessed with no accidents or injuries to date!

An even further delay has been created by many of our rig crew members reaching the limit of their work visas. This requires us to reset visas, which is not a simple process, and it adds another layer of delay and complexity.

We are also mindful of the significance of several upcoming dates in October. The one-year anniversary of the October 7th attacks marks a particularly sensitive period, especially given the ongoing war being fought on several fronts, and the emotional weight this date carries for Israel, alongside the High Holy Days of Rosh HaShanah (Feast of Trumpets), Yom Kippur, (Day of Atonement), Sukkot (Feast of Tabernacles), and Simchat Torah (Celebration of the yearly restart of the reading of the Torah – the first five books of the Bible).

In light of the combination of downhole, logistical, and crew challenges, as well as holidays, and the one-year remembrance of October 7, we have temporarily paused active operations. This is a necessary step to ensure the safety of our personnel and the integrity of the wellbore. We anticipate that once we have the necessary tools and renewed visas for our crews, we can resume operations in Q4 2024. This is, of course, all subject to the realities of the present geopolitical environment. The conflict in Israel, while not directly impacting our operations on a daily basis, creates uncertainties that could affect our schedule at any time.

We remain optimistic that we can resolve our current issues, and we remain committed to moving our project forward as quickly and safely as possible. We will continue to provide updates as new, significant developments arise.

We are thankful to be able to update you today on our progress on the MJ-01 recompletion project. Our crew, primarily from Hungary and Romania, is at the well site and continues to diligently work on re-conditioning the MJ-01 wellbore, where through God’s provision, we’ve overcome downhole challenges largely due to the age of the well which is almost three miles deep.

The initial phase of our recompletion project, which involved drilling out both the steel plugs along with 625 meters (about 2,050 feet) of cement plugs and re-conditioning the wellbore to allow unhindered access to the selected zones for testing, has been successfully completed. While this is a challenging project, our dedicated crew is performing safely and efficiently, ensuring the operational plan is timely.

In addition to the operational complexity, we are navigating logistical challenges attributed to the current Israel-Hamas war. A number of shipping companies have re-assessed routes, which has increased delays in the arrival of critical equipment. However, we are pleased to report that the final equipment required for the project is scheduled to depart from Greece to Haifa on August 24, 2024. With God’s help, we are doing everything within our power to ensure safe and timely delivery, though, as always, there are factors outside of our control, particularly in a war zone.

We are pleased to report that our area remains secure, where the safety of our crew is our top priority, and their morale remains strong. The team on the ground (see images below) and our contractors are fully committed to the project’s success. We have been blessed with a dedicated and experienced crew that continues to make great progress despite the unique challenges we face.

In light of all these developments, we are also announcing the extension of our Unit Program for another 45 days. The new deadline is October 15, 2024. This extension provides added time for investors who wish to support Zion’s mission and vision to obtain warrants. Each $250 investment per unit includes $250 worth of ZNOG stock at the trading day’s high-low average, as well as fifty 25-cent Warrants with an exercise period that will also be extended to November 14, 2025, from September 14, 2025.

As of the writing of this update, field operations remain on schedule, and our rig is now positioned over the MJ-01 wellbore. Repairs and maintenance, as well as the inspection of the rig, have all been completed successfully. All necessary wireline equipment for the project has been mobilized with additional essential items from India, China, Romania and Greece currently in transit for the final stages of operation.

Lord willing, this week will mark a significant milestone, as we actually re-enter the MJ-01 wellbore. This initial phase of the recompletion project involves drilling out the plugs and nearly 625 meters (approximately 2,050 feet) of cement in the well. This process should take us to the end of the month, at which point we will run a series of wireline tests and casing integrity tests to ensure that the wellbore has withstood the past six years of high temperatures.

If all goes as expected, we will then proceed with the perforation, stimulation, and well testing portion of the project. Based on our planning and careful preparation, we hope and anticipate the project will move toward completion at a reasonably efficient pace at that stage. Please note, of course, that the ongoing conflict in the north of Israel may cause unexpected changes to our schedule, so we will need to remain flexible.

DALLAS, Texas, and CAESAREA, Israel, June 3, 2024

Zion Oil & Gas, Inc. (OTC: ZNOG) is pleased to announce the start of recompletion operations for the MJ-01 well in Israel. Crews are mobilizing, and boots are officially on the ground, marking an exciting step forward in our journey towards Israel’s onshore energy potential.

OPERATIONS HAVE COMMENCED

Amidst the ongoing conflict in Israel, Zion is thankful that our location is safe and ready for operations. Thus far, there have not been any security concerns at our location and the project has not been significantly delayed despite unprecedented challenges.

The operations have, however, faced some logistical challenges due to the war; the biggest being the unexpected embargo that Turkey placed on trade with Israel. In early May, after Zion had commercially contracted services, equipment, and material from Turkey, the Turkish government announced that no equipment or material would be allowed to leave Turkey destined for Israeli ports. Consequently, the operations team was required to find alternate vendors and contractors on short notice to move forward.

Zion was able to secure contractual services from vendors located in Romania, Greece, and the United States with minimal impact and delay to the overall program timeline. This event and realignment of contractors on short notice is a challenge Zion was able to overcome. This is just one of numerous examples of God’s provisions as Zion has continued to press forward during this trying time in Israel.

“Our rig crew has assembled in Israel and will begin repair and maintenance on our drilling rig over the next couple of weeks,” said Monty Kness, VP of Operations. “Afterwards, the crew will rig down and have the rig’s critical components inspected and recertified prior to moving over MJ-01 and rigging back up. This is estimated to take an additional two to three weeks. While this is ongoing, the crew will mobilize the equipment necessary to re-open the MJ-01 well.”

After opening the well, Zion will implement cutting-edge technologies and innovative stimulation techniques on the MJ-01 well to potentially unlock hydrocarbon flows in both previously and newly identified zones of interest. The recompletion operations, involving a comprehensive work plan approved by the Israeli Ministry of Energy, are set to proceed through Q3 2024.

“Operations have officially kicked off, and our crew is fully engaged in safety testing and moving the rig,” said Zion Oil & Gas CEO, Rob Dunn. “We are ensuring all plans are followed to maximize the potential of the MJ-01 well.”


UNIT PROGRAM EXTENSION

In conjunction with these operational developments, Zion Oil & Gas is extending its current Unit Program. Originally set to conclude in May, the program will now run until August 31, 2024.

This extension provides investors with additional time to participate in Zion’s mission of achieving Israel’s energy independence. Each $250 investment per unit includes $250 worth of ZNOG stock at the trading day’s high-low average and fifty 25-cent Warrants, with the exercise period extended to September 14, 2025.

AT&T Announces Preliminary Results of 2024 Annual Meeting

DALLAS, May 16, 2024 – AT&T Inc.* (NYSE:T) announced the preliminary results of its annual meeting of stockholders, which was virtually held today in Dallas, Texas.

At the meeting, each of the 11 nominees to the company’s board of directors were re-elected to a one-year term. Stockholders also voted to approve the appointment of Ernst & Young as the company’s independent auditors (95% of votes cast in favor).

In an advisory vote, stockholders approved the compensation of AT&T’s executive officers, as described in the 2024 proxy statement (90.3% of votes cast in favor).

Additionally, three proposals submitted by stockholders were defeated:

  • The request to adopt an independent board chairman with 80.8% of votes cast against. 
  • The request to amend the clawback policy for unearned pay for each Named Executive Officer with 90.4% of votes cast against.
  • The request to issue a workforce civil liberties report with 97.7% of votes cast against.
